1. DEFINITIONS

“User” refers to any individual or entity accessing the Service.
“Espero” refers to Espero Inc., including its affiliates, directors, employees, and licensors.
“Content” means any data, reports, insights, or materials made available through the Service.
“Authorized Users” means individuals who are permitted by the contracting party to use the Service under a valid license.

2. USE OF SERVICE

2.1 License Grant

Subject to these Terms and a valid subscription, Espero grants you a non-exclusive, non-transferable, limited license to access and use the Service solely for your internal business purposes.

2.2 Restrictions

You agree not to:

Reverse engineer, decompile, or disassemble the Service;
Use the Service for any unlawful or unauthorized purpose;
Share login credentials or permit unlicensed users to access the Service;
Use the Service to develop competing products or services;
Access or use the Content for any machine learning, AI model training, or automated scraping purposes.

3. OWNERSHIP

All intellectual property rights in the Service and its Content belong to Espero or its licensors. You obtain no ownership rights by using the Service. All rights not expressly granted are reserved.

4. USER CONTENT

You may provide data, feedback, or other inputs to Espero (“User Content”). You grant Espero a royalty-free, non-exclusive license to use such content to operate, maintain, and improve the Service.

5. PRIVACY & DATA USE

Use of the Service is subject to Espero's Privacy Policy. Espero may collect and use data in accordance with its privacy practices, including for product improvement and security purposes.

6. DISCLAIMERS

The Service is provided “as is” without warranties of any kind. Espero does not guarantee accuracy, completeness, or fitness for a particular purpose. Use the Service at your own risk.

7. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

Espero will not be liable for any indirect, incidental, special, or consequential damages.
Total liability under these Terms shall not exceed the amount paid by you for access to the Service in the 12 months preceding the claim.

8. TERMINATION

Espero may suspend or terminate your access at any time for violation of these Terms. Upon termination, all licenses and rights granted will cease immediately.

9. MODIFICATIONS

Espero reserves the right to update these Terms. Material changes will be notified via email or the Service. Continued use of the Service after changes means acceptance of the revised Terms.

10. GOVERNING LAW

These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law principles.
